Terms of Service
Important: QuantForges provides technology services such as trade copying and trading tools. It is not an investment adviser, asset manager, broker or exchange, and it does not hold any of your funds. Trading and copy trading can cause you to lose all the money you commit. Please read these Terms in full, especially Section 9 “Risk Disclosure” and Section 13 “Disclaimer and Limitation of Liability”, before deciding whether to use the service.
1. Acceptance of the Terms
These Terms of Service (the “Terms”) are an agreement between you and QuantForges (“we”, “us” or the “Platform”) for your use of the website, Copy Centre, Trader Terminal, MT5 Terminal and related services provided on quantforges.com and its subdomains (including qr.quantforges.com and mt.quantforges.com) (together, the “Service”).
By registering an account, ticking to agree or actually using the Service, you confirm that you have read, understood and agreed to be bound by these Terms and the Privacy Policy. If you do not agree, do not register for or use the Service.
2. Definitions
- Copier: a user who, through the Service, links their own trading account to a lead account so that their account copies that lead account’s position changes under the rules they set.
- Lead trader: a user who has been approved by the Platform to lead and who opens their own trading account for others to copy.
- Lead account: a trading account that a lead trader has opened at a trading venue and that the Platform has reviewed and listed. What is copied is the account’s position changes, including strategy orders, manual orders, limit orders and take-profit and stop-loss orders.
- Trading venue: a third-party exchange or broker with which you open an account yourself, currently Binance and brokers that support MetaTrader 5 (MT5).
- Copy capital: the amount of capital you allocate to a particular copy, measured as the equity of that copy in your copy account.
3. Nature of the Service
- Technology service. The Platform provides technology services such as the display of lead account performance, trade copying, risk-control tools and terminals for trading and strategy development. Any performance, ranking, backtest or description the Platform displays is not investment advice, an offer or a promise of any return.
- Non-custodial. Your funds always remain in the trading venue account in your own name. The Platform places orders for your account only through the trading permission you grant (the trading permission of a Binance API Key, or an MT5 account’s trading password) and has neither the right nor the ability to withdraw, transfer or otherwise move your assets.
- You decide independently. Whether to copy, which lead account to follow, how much capital to allocate and which risk limits to set are all your own decisions, and you bear the consequences.
- No guarantee of matching results. Because of order timing, slippage, spreads, fees, capital size, minimum order sizes, trading venue rules and your own risk settings, your trading results will not exactly match the lead account’s and may be significantly worse.
4. Eligibility
- You must be at least 18 years old (or the age of majority in your region, whichever is higher) and have full legal capacity.
- Your use of the Service must not violate the laws and regulations of your country or region. Some countries or regions do not allow copy trading, or restrict leverage or the way fees are charged. The Platform applies the corresponding rules according to the region you declare or that is verified (your “jurisdiction”) and may refuse to provide some or all of the Service.
- You must declare your jurisdiction truthfully. If a false declaration causes the Platform to apply the wrong rules, you bear the consequences and the Platform may suspend or terminate your account.
- You must not be a person on any applicable sanctions list, nor use the Service on behalf of such a person.
- The Platform may require you to complete identity verification at any time and may restrict some of your functions until it is completed.
5. Accounts and Security
- You must provide truthful and accurate registration information and keep your sign-in password safe. Everything done through your account is treated as done by you.
- Binance API Key: you should grant “Trading” permission only, must not tick “Withdrawal”, and are advised to set an IP whitelist. You bear any loss caused by granting permissions beyond what is necessary.
- MT5 account: copying requires the account’s trading password (an investor password is view-only and cannot trade) and your own MetaApi access token. You can change the password at the trading venue or remove the connection on the Platform at any time to revoke the Platform’s trading permission.
- The Platform stores the keys and passwords you provide encrypted, but no transmission or storage over the internet can be absolutely secure. If you find that your account or a key has been misused, you must change your password immediately, revoke the key at the trading venue and notify us.
6. Copy Trading Service
- How copying works. After a lead account opens, adds to, reduces or closes a position, the Platform places the corresponding orders in your account according to the allocation method you set (fixed ratio, fixed amount or multiplier). Copying happens only between the same kind of trading venue: Binance lead accounts are copied by Binance accounts and MT5 lead accounts by MT5 accounts, and a simulated account can only be copied by simulated accounts.
- New positions only. By default you copy only positions the lead account opens after you start copying, and you do not take on its existing positions at prices where the lead trader already has a floating profit or loss.
- When copying is not possible. When the order size calculated in proportion is below the trading venue’s minimum order size, exceeds your risk limits, your margin is insufficient, the trading venue rejects an order or the connection is interrupted, the corresponding order may not be placed or may be only partly placed. The Platform states each lead account’s minimum capital requirement on its page but does not guarantee complete copying at any capital size.
- Your risk limits. You can set a position cap, max leverage, daily loss limit, max drawdown and cooling-off period. When one is triggered the Platform stops copying or closes positions as set; where your jurisdiction’s rules are stricter, the jurisdiction’s rules apply. Risk limits are a tool for reducing risk and do not guarantee that your loss will not exceed the set value, especially when the market gaps, liquidity is thin or the trading venue malfunctions.
- Capacity. A lead account may have a cap on copy capital, and once it is reached no new copiers are accepted.
- Stopping. You can stop copying at any time. After you stop, the Platform places no new orders for you; whether the positions already in your account are closed depends on the choice you make when stopping, and any positions left open are yours to manage.
- Changes to a lead account. A lead trader may pause trading, change strategy, be delisted or have their status suspended by the Platform. The Platform will try to indicate this on the page but is not responsible for any lead trader’s trading conduct.
7. Lead Trader Terms
- Application and review. Any user may apply to become a lead trader. The Platform reviews applications on the information provided and may approve, reject or suspend lead trader status at any time, without having to give all of its reasons.
- Listing requirements. A lead account must meet the Platform’s thresholds for running days, number of trades and drawdown experience and pass review before it can be listed. Any exception the Platform makes to the thresholds is recorded.
- Authenticity. A lead trader must trade with their own account and must not manipulate performance through wash trading, fake orders, borrowing others’ accounts, selective display or any other means, and must not promise returns to copiers or make misleading statements. What the Platform displays is the lead account’s complete real record, including losses and drawdowns.
- Revenue share. A lead trader receives a part of the fees copiers pay at a ratio the Platform sets uniformly, and cannot set their own prices. If the lead trader’s jurisdiction does not allow charging a performance share, their lead account is open only to copiers who pay by subscription fee.
- Taxes. A lead trader must declare and pay any taxes on their revenue-share income.
- Breaches. If a lead trader breaches these Terms, the Platform may delist their lead account, suspend or cancel their lead trader status and withhold any share not yet settled.
8. Fees and Payment
- Platform-wide pricing. Copy fee rates are set by the Platform and published on the product pages, and lead traders take no part in pricing. A new rate applies only to copies started afterwards; a copy already started keeps the rate it started with.
- The fee model depends on jurisdiction. According to your jurisdiction, the Platform applies one of the following two models to each of your copies, as decided by the Platform’s rules and not chosen by you or the lead trader:
- Subscription fee: a percentage of copy capital charged monthly, with next month’s amount set at the end of each month from the capital at that time; if a copy starts mid-month, the first month is prorated by the days remaining; a monthly minimum may apply.
- Revenue share: a percentage of profit above the high-water mark. No share is charged during a loss or until the loss has been recovered.
- Free period. Your first copy may have a free period, with the number of days as shown on the copy confirmation page.
- Deposit and withdrawal adjustments. When you deposit into or withdraw from your copy account, the Platform adjusts the fee base, the high-water mark and the peak equity used by risk limits accordingly, so that you are not charged a share on money you deposited yourself.
- Payment method. Fees are paid in USDT (BEP20 network). On-chain transfers must use the correct network and amount, and you bear any loss caused by a wrong network, address or amount.
- Overdue bills. When a bill is overdue, the Platform first switches that copy to “close only” (existing positions continue to be managed but no new positions are opened), and if it is still unpaid when the grace period ends, the copy is terminated. Fees for the overdue period remain payable.
- Refunds. Fees for a period in which the service has been provided are generally not refunded. If you believe there has been a duplicate charge or a billing error, contact us within 30 days of the bill being issued and we will check each case.
- Trading costs. Trading fees, funding rates, overnight interest, spreads, on-chain fees and the like are charged by the trading venue or the network and are not included in the Platform’s fees.
9. Risk Disclosure
- Loss of capital. Margin trading such as crypto futures, FX and contracts for difference uses leverage, and a small price move can quickly magnify your loss, even to the whole of your capital; in a violent market your positions may be forcibly liquidated by the trading venue.
- Past performance. A lead account’s historical performance and the backtest results and rankings the Platform displays do not indicate future performance. Backtests rest on historical data and assumptions and are usually better than live trading.
- Derivative nature. Strategies involving US stocks, precious metals and similar underlyings trade derivative contracts offered by the trading venue, not real shares or physical assets, and you have no shareholder rights, dividends or right to physical delivery.
- Copying deviation. See Section 3, item 4 and Section 6, item 3. Your results may be significantly worse than the lead account’s.
- Technical risk. Network interruptions, server faults, changes to or rate limiting of a trading venue’s interface, third-party service outages and the like may cause orders to be delayed, not executed, duplicated or partly executed, and risk limits not to take effect in time.
- Liquidity and market risk. The market may gap, liquidity may dry up, trading may be halted or volatility may be extreme, so that orders cannot be filled at the expected price.
- Regulatory risk. Relevant laws and regulations may change, causing some services to be restricted or ended in your region.
You confirm that you understand the risks above and will commit only money whose total loss you can bear.
10. Third-Party Services
The Service depends on third parties, including exchanges and brokers (such as Binance and MT5 brokers), MetaApi cloud terminals and blockchain networks. Your relationship with them is governed by their own terms. The Platform does not control them and is not responsible for their availability, trading rules, risk controls, safety of funds or conduct.
11. Prohibited Conduct
You must not:
- use the Service for money laundering, terrorist financing, fraud, market manipulation or other unlawful activity;
- impersonate another person, provide false information or get around jurisdiction restrictions;
- scrape, copy or resell the Platform’s data, lead account performance or terminal functions without permission;
- attack, probe or interfere with the Platform’s systems, or bypass its permissions and security measures;
- upload malicious code, or try in strategy code to break out of the isolated runtime environment the Platform provides.
12. Intellectual Property
The intellectual property in the Platform’s website, software, terminals, interface design, brand identifiers (including the QuantForges name and logo) and the Platform’s own content belongs to the Platform. The intellectual property in strategy code a lead trader writes on the Platform belongs to that lead trader, who grants the Platform the non-exclusive licence to run, store and display it that is necessary to provide the Service. The Platform will not make strategy code or parameters public.
13. Disclaimer and Limitation of Liability
- The Service is provided “as is” and “as available”. To the fullest extent permitted by law, the Platform makes no express or implied warranty that the Service will be uninterrupted, error-free, timely or secure.
- The Platform is not liable for the following losses: your trading losses; a lead trader’s trading decisions; faults or conduct of third parties (including trading venues, brokers, MetaApi, and payment and blockchain networks); force majeure; and losses caused by your disclosing a password or key or breaching these Terms.
- To the fullest extent permitted by law, the Platform’s total liability to you is capped at the fees you actually paid the Platform in the 12 months before the loss occurred, and the Platform is not liable for any indirect, incidental or punitive loss or loss of profit.
- If your breach of these Terms or of any law causes the Platform or a third party to suffer a claim or loss, you must compensate it.
14. Suspension and Termination
- You can stop all copying and stop using the Service at any time.
- If you breach these Terms, are suspected of fraud or unlawful conduct, your jurisdiction no longer permits the Service, or the law or a regulator requires it, the Platform may suspend or terminate some or all of your Service and, where necessary, stop placing new orders for your account.
- Termination does not affect fees and liabilities incurred before it. After the Platform’s permission to place orders ends, the positions in your account are yours to manage.
15. Changes to the Terms
The Platform may change these Terms from time to time. Material changes will be notified to you by an on-site announcement or email before they take effect. If you continue to use the Service after a change takes effect, you are deemed to accept the changed Terms; if you do not agree, you must stop using the Service.
16. Governing Law and Dispute Resolution
The parties shall first try to resolve any dispute arising from these Terms or the Service through friendly negotiation; if negotiation fails, either party may submit the dispute to the competent court or arbitration body where the Platform’s operating entity is located. If any provision of these Terms is invalid, the remaining provisions are unaffected.
17. General
These Terms, the Privacy Policy and the rates and rules published on the product pages together form the entire agreement between you and the Platform. The Platform’s failure to exercise a right is not a waiver of it. The Chinese version of these Terms prevails; this English version is provided for convenience.
